Job Role or Description
- Valuation of target as per prevalent process of deptt – Preparation of various valuation models like Discounted Cash Flow (DCF), Peer multiple, Transaction multiple, Market Capitalization etc.
- Due Diligence process- In consultation with Chief/ Head M&A a) Planning and conduct of due diligence including resolution of issues. b) Preparation of Data Room in case of a sale. c)Managing the due diligence process from both seller andbuyer side as the case may be. d) Coordination with external consultants and internal agencies.
- Finalization of Definitive Agreements -Finalising of MoUs, JV Agreements, Share Purchase Agreements, Share Transfer. Agreements etc in coordination with Legal
- Preparation of documents pertaining to Internal approvals for respective transaction – Preparation of Board Note and presentation of Business Case.
- Project Evaluations for feasibility of respective project – Evaluate financial feasibility and monitor critical projects.
- Collate and help Sr Manager Investor relations in preparing external communication documents like quarterly analyst presentations, press releases, and speakers script.
- Help in departmental contribution for annual report and website content update
- Adhere to SEBI and other regulatory guidelines related to IR
